NamBiz Terms of Service
Contract terms for use of NamBiz as a compliance-first Namibian ERP and payroll SaaS.

1. Provider and Scope
NamBiz is operated by Hex-Tech Software Technologies CC, PO Box 30098 Pionierspark, Windhoek, Namibia ("NamBiz", "we", "our").
These Terms govern your use of NamBiz websites, web application, APIs, and related services for employer, staff, accountant, and auditor workflows.
2. Acceptance and Eligibility
By creating an account or using NamBiz, you agree to these Terms and our Privacy Notice, Data Usage Policy, and Cookie Policy.
You must have legal capacity to contract and authority to bind the business or organization you represent.
3. Accounts and Security
You are responsible for account credentials, role assignments, and activity performed through your account unless caused by our security failure.
You must promptly notify us of unauthorized access, compromised credentials, or suspected misuse.
4. Subscriptions, Fees, and VAT
Fees, package terms, and first-invoice launch discounts are published in NamBiz pricing and may be updated from time to time with notice for future billing periods.
Published Namibian Dollar prices may be shown as VAT-exclusive and VAT-inclusive. VAT treatment follows applicable Namibian tax law.
Workspace launch includes a once-only first invoice discount, and recurring plan pricing then applies from the next billing cycle. Once-off services are billed per transaction as quoted.
5. Customer Data and Content
You retain ownership of your business records, payroll files, and uploaded documents. You grant NamBiz a limited processing right to provide contracted services.
You must ensure your submitted information is lawful, accurate, and up to date, including employee data and statutory registration details.
6. Acceptable Use
You may not use NamBiz to violate Namibian law, infringe rights, upload malicious code, bypass controls, or perform unauthorized access attempts.
- No fraud, identity misuse, or false statutory filings
- No reverse engineering or unauthorized extraction of source logic
- No abusive, harmful, or unlawful content in communications
7. Availability, Support, and Changes
We aim for commercially reasonable availability and may perform maintenance, security updates, and feature changes.
Material functionality changes and term updates are communicated through in-app notices or website publication.
8. Suspension and Termination
We may suspend or terminate access for material breach, non-payment, security risk, or legal/regulatory requirements.
On termination, export and retention are handled under the applicable subscription terms and the Data Usage Policy.
9. Liability and Disclaimers
NamBiz is provided on a business-service basis and does not replace independent legal, tax, or accounting advice.
To the extent permitted by Namibian law, indirect or consequential loss is excluded and direct liability is limited to fees paid for the affected service period.
10. Governing Law and Disputes
These Terms are governed by the laws of Namibia.
The courts of Namibia have exclusive jurisdiction, subject to any mandatory dispute-resolution process required by law.
